Effective Date: May 26, 2026

These Terms & Conditions (the "Terms") govern your access to and use of the website located at bbcat.ca and any related pages or subdomains (the "Site"), and any services offered through the Site, including bookings for our home-based cat boarding services (the "Services"). The Site and the Services are operated by bbcat Inc. ("bbcat", "we", "us", "our"), an Ontario corporation. By accessing or using the Site, by submitting a booking request, by creating an account, or by communicating with us through the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

Please read these Terms carefully. They include important provisions that limit our liability, require you to indemnify us, and govern how disputes are resolved.

1. About Us; Definitions

  • bbcat Parties: bbcat Inc., an Ontario corporation, together with its directors, officers, shareholders, employees, agents, contractors, successors, and assigns, each acting in such capacity.
  • You: The individual visiting the Site or booking the Services on behalf of yourself and (where applicable) the cat owner you represent.
  • Site: The website at bbcat.ca and any related pages, subdomains, and online tools we operate.
  • Services: Our home-based, cage-free cat boarding and related care, optional transport ("Cat Chauffeur"), and any add-on services we offer.
  • Terms of Service: Our separate booking terms (the "Terms of Service") published in the Policies section of our Shopify store, which set out the detailed contract for each booking and are incorporated into these Terms by reference. If there is any conflict between these Terms and the Terms of Service in respect of a specific booking, the Terms of Service controls for that booking.

2. Eligibility

  • You must be at least 18 years old and have the legal capacity to enter into binding agreements to use the Site or book the Services. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization.
  • You must use the Site only for lawful purposes and in compliance with these Terms.

3. Accounts and Booking Process

  • Booking requests: Submitting the booking form on the Site does not, by itself, create a confirmed booking. We review each request for capacity, vaccination, behaviour, and fit, and may accept, decline, or request changes at our sole discretion.
  • Information accuracy: You agree to provide complete, accurate, and current information about yourself, your cat(s), your veterinarian, and your emergency contact, and to keep this information up to date.
  • Account security: If you create an account, you are responsible for safeguarding your credentials and for any activity under your account.

4. Booking Services and Terms of Service

  • Each booking is governed by our Terms of Service, which contains the detailed contractual terms for boarding, including health and vaccine requirements, care standards, no-visitor policy, emergency veterinary authorization, assumption of risk, and other essential terms. By submitting a booking request, you agree to the Terms of Service in effect as at the time of the request.
  • We may amend the Terms of Service from time to time. Updated Terms of Service apply to bookings made on or after their effective date, unless we agree otherwise in writing.

5. Fees and Payment

  • Fees: You agree to pay the quoted fees, applicable taxes, and any authorized additional charges (including veterinary costs, administrative fees, transport fees, and supplied items) in accordance with the rates and the Terms of Service.
  • Payment Timing: We do not take a deposit. Payment becomes due once we have reviewed your intake form and your cat's vaccination certificate, and is paid by card through our Shopify-hosted invoice. Payment must be received by your drop-off day.
  • Currency and Taxes: All amounts are in Canadian dollars (CAD) unless stated otherwise. Applicable taxes will be added at the rate in effect at the time of invoicing.

6. Cancellation and Refund Policy

The following policy applies to all bookings and must be read consistently with the Refund Policy and Section 6 of our Terms of Service.

  • If you cancel before your stay begins: You can cancel any time before drop-off. If you haven't paid yet, you owe nothing. If you've already paid, we refund 100%. We ask for at least 72 hours' notice so we can try to offer the spot to another family.
  • Late cancellations and no-shows: If you cancel within 72 hours of drop-off, or don't arrive without telling us, please let us know as soon as you can. Even with that notice, it's often too late for us to find a replacement. We may ask for a deposit on — or decline — future bookings if this happens repeatedly.
  • If you pick up early: Your drop-off day always counts as day 1, no matter the time. If you've paid in full and pick up early, we refund for unused days: 50% back for any unused days within the first 5 days of the booking; 100% back for any unused days beyond day 5; days your cat was actually with us are not refunded.
  • If we have to cancel or end the stay (bbcat decision): If we can't take or keep your cat for safety, illness, capacity, or fit reasons, you don't pay for the days we didn't provide; anything you've already paid for those days is refunded in full from the date of pick-up, and we'll help you reschedule if we can.
  • Emergencies and extenuating circumstances: For documented emergencies (serious illness or death of your cat, you, or an immediate family member; a natural disaster; or a government travel or health order issued after you booked) we waive applicable charges and refund what you've paid, or help you reschedule.
  • Add-ons: The Spa Experience, Cat Chauffeur Service, and Premium Meal Package become non-refundable once the service has started or you're within 72 hours of drop-off, since we book and buy them in advance. If you cancel earlier and have already paid, they're refunded with the rest of your booking.
  • Force majeure: For events beyond our reasonable control (public-health orders, severe weather, utility outages), we'll reschedule your booking or refund what you paid for any days we couldn't provide.
  • Refund processing: Refunds are returned to the original payment card via Shopify, within 6 business days of confirming the cancellation (and, where applicable, picking your cat up).

7. Assumption of Risk (Communal, Cage-Free Boarding)

  • You understand and accept the inherent risks of communal, cage-free, home-based boarding, including: inter-cat play or conflict causing scratches or bites; stress-related illness; gastrointestinal upset from diet change or ingestion of other food; communicable diseases (for example, upper respiratory infections); parasite exposure; and the possibility of escape despite reasonable precautions. You accept these risks where the bbcat Parties have exercised reasonable care.
  • You confirm that you have disclosed all known behaviour, medical conditions, allergies, medications, and dietary requirements relating to your cat(s) before drop-off, and that you will promptly update us of any changes.

8. Owner Responsibility for Your Cat

  • You remain legally responsible for your cat(s) at all times, including for any injury, damage, illness, or loss caused by your cat to other cats, to persons (including any bbcat Party), or to property, except to the extent caused by bbcat's gross negligence or wilful misconduct.
  • You authorize bbcat to take reasonable actions to protect your cat and other cats in our care, including separation, isolation, parasite treatment at your cost, refusal of intake, requiring immediate pick-up, and obtaining emergency veterinary care in accordance with the Terms of Service.

9. Acceptable Use of the Site

You agree not to:

  • use the Site in any way that violates applicable law or these Terms;
  • submit a booking request you do not intend to honour, or impersonate another person;
  • upload or transmit any content that is unlawful, defamatory, harassing, infringing, fraudulent, malicious, or that contains a virus or harmful code;
  • access the Site by automated means, scrape data, harvest personal information, or interfere with the security or operation of the Site;
  • reverse engineer, decompile, or attempt to derive the source code of the Site or any software made available through it; or
  • use the Site to compete with bbcat, including by collecting our prices, content, or customer information for use in a competing service.

We may suspend or terminate your access to the Site, decline any pending or future booking request, and pursue any remedy available at law for any breach of this section.

10. User-Submitted Content

  • Your content: If you upload photos of your cat, reviews, comments, messages, or other content to the Site or to us (collectively, "User Content"), you represent and warrant that you own or have all necessary rights to that User Content and that it does not infringe the rights of any third party.
  • Licence to bbcat: You grant bbcat a worldwide, royalty-free, sublicensable, transferable, perpetual, and irrevocable licence to host, store, copy, display, adapt, distribute, and use the User Content in connection with operating, providing, and promoting the Services, subject to our Privacy Policy and any marketing-consent choices you make at the time of booking.
  • Removal: We may remove or refuse to publish any User Content at our sole discretion.

11. Intellectual Property

  • All content on the Site (including text, images, photographs, logos, trademarks, designs, software, page layouts, and the "bbcat" name and branding) is owned by bbcat or its licensors and is protected by Canadian and international intellectual property laws.
  • We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for the sole purpose of viewing our Services and submitting bookings. All other rights are reserved. You may not copy, modify, distribute, sell, or commercially exploit any part of the Site without our prior written consent.

12. Privacy

  • Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you acknowledge our Privacy Policy.

13. Third-Party Links and Content

  • The Site may contain links to, or content from, third parties (including payment processors, veterinary clinics, mapping providers, and review platforms). We do not control and are not responsible for third-party sites, content, products, or services. Your use of any third-party site or service is at your own risk and is subject to that third party's terms and privacy practices.

14. Disclaimer of Warranties

To the maximum extent permitted by applicable law:

  • The Site and the Services are provided on an "as is" and "as available" basis, without warranties or conditions of any kind, whether express, implied, or statutory. The bbcat Parties expressly disclaim all implied warranties and conditions, including merchantability, fitness for a particular purpose, durability, non-infringement, accuracy, and uninterrupted or error-free operation.
  • We do not warrant that the Site will be secure, uninterrupted, free of errors or viruses, or that any defect will be corrected.
  • We are not insurers of cats. We strongly encourage you to maintain pet insurance.
  • Nothing in these Terms limits any non-excludable statutory rights you have under applicable consumer-protection law, including the Ontario Consumer Protection Act, 2002.

15. Limitation of Liability

To the maximum extent permitted by applicable law:

  • None of the bbcat Parties shall be liable to you for any indirect, incidental, special, consequential, punitive, exemplary, or aggravated damages, or for any loss of profits, revenue, data, business, goodwill, opportunity, or anticipated savings, or for emotional distress or non-economic harm, however caused and on any theory of liability (including negligence), even if we have been advised of the possibility of such damages.
  • The total aggregate liability of the bbcat Parties to you for all claims arising out of or relating to a booking, the Services, or your use of the Site is limited to the lesser of (i) the fees you actually paid to bbcat for the booking giving rise to the claim, or (ii) CAD 1,000.
  • The limitations in this section apply whether the claim is based in contract, tort (including negligence), statute, or any other legal theory, and apply even if a remedy fails its essential purpose. If applicable law does not permit a limitation in a specific circumstance, our liability in that circumstance is limited to the smallest amount permitted by law.

16. Indemnification

  • You agree to defend, indemnify, and hold harmless the bbcat Parties from and against any and all third-party claims, demands, actions, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable legal fees on a full indemnity basis) arising out of or related to: (a) your breach of these Terms or the Terms of Service; (b) any misrepresentation or omission you make to us, including in your intake form or vaccination documentation; (c) injury, illness, damage, or loss caused by your cat to any person, animal, or property; (d) your violation of any law or the rights of any third party; (e) your User Content; or (f) your misuse of the Site.
  • We may, at our option, assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defence. You will not settle any such matter without our prior written consent.

17. Force Majeure

  • The bbcat Parties will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, natural disasters, severe weather, fires, floods, pandemics or epidemics, public-health orders, government action, utility failures, internet or telecommunications outages, labour disturbances, and supply-chain disruptions. We will offer rescheduling or refunds for amounts paid for services not provided, consistent with Section 6 of these Terms.

18. Suspension and Termination

  • We may, at our discretion and without prior notice, suspend or terminate your access to the Site, decline any pending or future booking request, and (where applicable) end an in-progress stay, if we believe you have breached these Terms or the Terms of Service, if continuation would risk the safety or well-being of any cat or person, or as otherwise permitted by these Terms or applicable law.
  • Sections that by their nature should survive termination (including Sections 5 through 16, 19, 20, 21, and 23) will survive termination.

19. Amendments

  • We may update these Terms from time to time by posting the updated Terms on the Site with a new Effective Date. The updated Terms apply to your use of the Site from the Effective Date and to bookings submitted on or after that Effective Date. Your continued use of the Site after the Effective Date constitutes acceptance of the updated Terms. For existing confirmed bookings, the version in effect at the time of booking applies unless we both agree otherwise in writing.

20. Governing Law and Dispute Resolution

  • Governing law: These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles.
  • Venue: The courts of the Province of Ontario have exclusive jurisdiction over any dispute arising out of or relating to these Terms, the Site, or the Services, and you submit to the personal jurisdiction of those courts. This does not limit any non-excludable rights you may have to bring a claim in another forum under applicable consumer-protection law.
  • Informal resolution first: Before commencing any formal proceeding, you agree to notify bbcat in writing at support@bbcat.ca describing your concern and to allow us 30 days to attempt a good-faith resolution.
  • Limitation period: Any claim arising out of or relating to these Terms, the Site, or a booking must be commenced within the limitation period under the Limitations Act, 2002 (Ontario), and you agree not to bring any claim outside that period.

21. Severability; No Waiver; Entire Agreement; Assignment

  • Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to be valid, and the remaining provisions will continue in full force.
  • No waiver: Our failure to enforce any provision is not a waiver of that or any other provision.
  • Entire agreement: These Terms, together with the Terms of Service, the Refund Policy, and the Privacy Policy, constitute the entire agreement between you and bbcat regarding the Site and any booking, and supersede any prior or contemporaneous communications.
  • Assignment: You may not assign or transfer these Terms or any of your rights or obligations under them without our prior written consent. We may assign these Terms in connection with a corporate reorganization or sale of all or substantially all of our assets.
  • No agency: Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and any bbcat Party.

22. Language; Headings; Interpretation

  • These Terms are drawn up in English. Headings are for convenience only and do not affect interpretation. References to "including" mean "including without limitation".
